By accessing or using Threadesk, you agree to these Terms of Service.

If you do not agree, you must discontinue use of the services.

2. Eligibility

You must:

• Be at least 18 years old.
• Operate a lawful business activity.
• Have authority to enter into binding agreements.
• Use the services in compliance with applicable laws.

3. Service Description

Threadesk provides a human-assisted productivity platform that helps merchants organize customer information originating from WhatsApp conversations.

Threadesk is:

• A browser extension.
• A business organization tool.
• A customer management system.
• An AI-assisted workflow system.

Threadesk is not:

• A chatbot.
• A bulk messaging platform.
• A marketing automation system.
• A message sending service.

4. Account Security

You are responsible for:

• Maintaining account credentials.
• Protecting authentication information.
• Securing your browser and devices.
• Managing authorized users.

You remain responsible for activity occurring under your account.

5. Google Sign-In

Where available, users may authenticate using Google Sign-In. Authentication tokens are validated securely. Threadesk does not receive your Google password.

6. Acceptable Use

You agree not to use Threadesk to:

• Send spam.
• Circumvent platform restrictions.
• Harvest personal information unlawfully.
• Conduct fraud.
• Violate privacy rights.
• Engage in unauthorized automation.
• Impersonate individuals.
• Distribute malicious software.

7. WhatsApp Compliance

Threadesk operates independently of Meta Platforms, Inc. Threadesk is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta.

Users remain solely responsible for compliance with:

• WhatsApp Terms of Service.
• WhatsApp Business policies.
• Applicable laws.

Threadesk is a read-only, human-assisted overlay. The platform does not:

• Send messages automatically.
• Monitor conversations continuously.
• Initiate communication.
• Operate without user action.

Any account restrictions imposed by WhatsApp remain the responsibility of the user.

8. Subscriptions

Threadesk offers subscription plans including:

• Free.
• Solo.
• Seller.
• Merchant.

Features and limits are determined through capability-based access controls. Capabilities may include AI credits, customer limits, order limits, team access, receipt generation, and group scanning features.

9. AI Credits

AI credits function as usage units. Credits are consumed:

1. Monthly subscription allocation.
2. Purchased bundles in order of expiration.

Unused purchased credits may expire according to their associated validity periods. Credits possess no cash value.

10. Billing

Subscriptions may renew automatically where supported. Account statuses may include Active, Past Due, Canceled, or Unpaid. Failure to complete payment may result in reduced access or downgrade to a free plan.

11. Refund Policy

Unless required by applicable law:

• Subscription fees are non-refundable.
• Credit purchases are non-refundable.
• Partial billing periods are not refunded.

Payment disputes should first be directed to Threadesk support.

12. Intellectual Property

Threadesk retains all rights to:

• Software.
• Extension code.
• AI systems.
• Branding.
• Logos.
• User interfaces.
• Documentation.
• Designs.

No rights are transferred except the limited right to use the services.

13. Customer Data

Merchants retain ownership of their customer information. Threadesk processes such information solely to provide the services.

14. Service Availability

Threadesk strives for reliable availability but does not guarantee uninterrupted service. Temporary interruptions may occur because of maintenance, infrastructure issues, browser updates, WhatsApp Web changes, or third-party provider outages.

15. Disclaimer

The services are provided "AS IS" and "AS AVAILABLE." Threadesk disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and continuous availability. AI-generated results may contain inaccuracies. Merchants are responsible for reviewing and approving information before saving or acting upon it.

16. Limitation of Liability

To the maximum extent permitted by law, Threadesk shall not be liable for:

• Lost profits.
• Lost revenue.
• Business interruption.
• Customer disputes.
• Data inaccuracies.
• WhatsApp account restrictions.
• Third-party service failures.
• Payment processing delays.
• Browser compatibility issues.

Our total liability shall not exceed the amount paid by the customer during the preceding twelve months.

17. Termination

Threadesk may suspend or terminate accounts for:

• Fraud.
• Abuse.
• Security risks.
• Terms violations.
• Illegal activities.

Users may terminate their accounts at any time.

18. Governing Law

These Terms shall be governed by applicable laws determined by the jurisdiction in which Threadesk operates and provides services.
